Terms of Service

These Terms of Service ("Terms") govern your use of the Nook Analytics website at nookanalytics.com and related services (the "Service"), operated by Nook Analytics Inc., a British Columbia (Canada) corporation ("Nook," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Service Description
Nook Analytics is a web analytics dashboard that connects to your existing Google Analytics 4 (GA4) and Google Search Console (GSC) accounts via their official, read-only APIs. We fetch, store, and display your website performance data in a simplified dashboard. We do not place any tracking code on your website and do not collect data directly from your website's visitors.
2. Account Registration
- Eligibility. You must be at least 18 years old and have the legal authority to agree to these Terms on behalf of yourself or your organization.
- Google OAuth. Accounts are created by signing in with your Google account. By doing so, you authorize us to access your name, email address, and profile picture from Google, and to request read-only access to your GA4 and Search Console data using the
analytics.readonlyandwebmasters.readonlyOAuth scopes. - Organizations. Upon registration, an organization is automatically created for your account. You are the owner of this organization and may invite team members to join.
- Account Security. You are responsible for maintaining the security of your Google account, which controls access to Nook. You must notify us promptly if you believe your account has been compromised.
- Accuracy. You agree that the information associated with your Google account is accurate and current.
3. Free Trial
New accounts receive a 14-day free trial with Growth-tier access. No credit card is required to start the trial. During the trial, you have access to all Growth plan features, including up to 20 connected properties and 12 months of data retention.
At the end of the trial, if no payment method has been added, your subscription will pause and your account will be limited to Starter-tier access. Your data is not deleted — it continues to accumulate and will be available if you subscribe to a paid plan.
4. Billing and Payments
- Payment Processor. All payments are processed by Stripe. By subscribing to a paid plan, you also agree to Stripe's Services Agreement.
- Pricing. Prices are listed on our pricing page in USD. We offer monthly and annual billing cycles.
- Auto-Renewal. Subscriptions automatically renew at the end of each billing cycle (monthly or annual) unless cancelled before the renewal date.
- Cancellation. You may cancel your subscription at any time from your dashboard Settings. Cancellation takes effect at the end of the current billing period — you retain access to paid features until then.
- Refunds. Fees are generally non-refundable. If you believe you were charged in error, contact us at hello@nookanalytics.com within 30 days of the charge.
- Price Changes. We may change our prices with at least 30 days written notice. Price changes take effect at the start of your next billing cycle after the notice period.
- Taxes. Prices are exclusive of applicable taxes. You are responsible for any sales tax, VAT, or other taxes imposed by your jurisdiction.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Attempt to access data belonging to other users or organizations you are not authorized to access
- Reverse-engineer, decompile, or disassemble the Service, or attempt to derive its source code
- Use automated scripts, bots, or crawlers to access the Service in a manner that exceeds reasonable use
- Resell, redistribute, or sublicense the Service or data obtained through it without our written consent
- Interfere with or disrupt the Service, servers, or networks connected to the Service
- Impersonate another person or entity, or misrepresent your affiliation with a person or entity
- Use the Service in a way that violates Google's Terms of Service, API Terms, or any third-party terms
We reserve the right to suspend or terminate your account for violation of these acceptable use provisions, with or without notice depending on the severity.
6. Data Ownership
- Your Data. You retain all rights, title, and interest in your data, including the analytics data fetched from your Google accounts. We do not claim ownership of any data you provide or that we access on your behalf.
- Our Role. We act as a data processor. We process your data solely to provide the Service as described in these Terms and our Privacy Policy. We do not use your data for any other purpose.
- Aggregated Data. We may use aggregated, anonymized data that does not identify you or your properties for purposes such as improving the Service, generating benchmarks, or publishing industry reports. This data cannot be traced back to your account or properties.
- Data Portability. You can export all your data at any time via the data export feature in Settings. Exports are provided in JSON format and include your account information, site configurations, and all stored analytics data.
7. Google API Terms
The Service accesses Google APIs and is subject to the Google APIs Terms of Service and the Google API Services User Data Policy. By using the Service, you acknowledge that:
- We request only read-only OAuth scopes (
analytics.readonlyandwebmasters.readonly). We cannot modify, delete, or write data in your Google accounts. - You can revoke Nook's access to your Google data at any time from your Google Account permissions.
- The accuracy and availability of GA4 and Search Console data depends on Google. We are not responsible for data delays, gaps, sampling, or discrepancies originating from Google's APIs.
- Our use of Google user data is limited to providing and improving user-facing features as described in our Privacy Policy, in compliance with Google's Limited Use requirements.
8. Intellectual Property
The Service, including its design, code, features, documentation, and branding (logos, name, visual identity), is owned by Nook Analytics Inc. and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.
"Nook Analytics" and the Nook logo are trademarks of Nook Analytics Inc. You may not use our trademarks without our prior written consent.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Without limiting the foregoing, we do not warrant that:
- The Service will be uninterrupted, error-free, or secure
- The data displayed is accurate, complete, or current (data accuracy depends on Google's APIs, which may return sampled or delayed data)
- The Service will meet your specific requirements
- Any defects or errors will be corrected within a specific timeframe
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NOOK ANALYTICS INC., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Nook Analytics Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your violation of any third-party rights, including Google's Terms of Service
- Any content, data, or information you submit, store, or transmit through the Service
12. Termination
- By You. You may terminate your account at any time by using the "Delete Account" option in Settings. This immediately cancels any active Stripe subscriptions, deletes all organizations you own (including all connected sites and analytics data), removes your memberships in other organizations, and permanently deletes your user record. This action is irreversible.
- By Us. We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, fail to pay fees when due, or if we reasonably believe continued use would cause harm to the Service or other users. We will provide notice where practicable.
- Effect of Termination. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will survive, including Data Ownership, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution.
- Service Discontinuation. If we discontinue the Service entirely, we will provide at least 60 days notice and offer data export functionality throughout the notice period.
13. Modifications to Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email at least 30 days before the changes take effect and update the "Last updated" date above. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Service and may delete your account before the changes take effect.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Vancouver, British Columbia, Canada, and you consent to the personal jurisdiction and venue of such courts.
15. Dispute Resolution
Before initiating any formal legal proceedings, you agree to first contact us at hello@nookanalytics.com and attempt to resolve the dispute informally for at least 30 days. Most concerns can be resolved quickly through direct communication. If informal resolution is unsuccessful, either party may proceed with formal legal action in accordance with Section 14.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
17. Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that or any other provision. A waiver of any provision is only effective if in writing and signed by us.
18. Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets, provided the assignee agrees to be bound by these Terms. Any attempted assignment in violation of this section is void.
19. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nook Analytics Inc. regarding the Service and supersede all prior or contemporaneous agreements, understandings, or representations, whether written or oral, regarding the Service.
